Terms of Service

1. Agreement

These Terms of Service (“Terms”) form a binding agreement between you and CCorp.com, operated by Transaction Processing Products, Inc. (collectively, “CCorp”, “we”, “us”). By creating an account, joining the waitlist, or using any CCorp service you agree to these Terms. If you don't agree, don't use the service.

2. What we provide

  • Entity formation — preparation and filing of articles of incorporation/organization, registered-agent service, EIN issuance, and a digital document vault.
  • Email infrastructure — alias forwarding and managed mailboxes on customer-owned domains, plus the DNS configuration tools required to activate them.
  • Related tooling — setup dashboards, delivery and bounce dashboards, and similar account utilities.

CCorp is not a law firm and these Terms do not create an attorney-client relationship. Information on the site is general information, not legal advice. Consult an attorney for any matter that requires legal counsel.

3. Accounts and eligibility

You must be at least 18 years old and able to enter into a binding contract. You agree to provide accurate information, keep your credentials secure, and notify us of any unauthorized use. You are responsible for all activity on your account.

4. Free email — acceptable use

To keep the free tier sustainable for everyone, we enforce the following rules:

  • One free domain per business. Bulk-signup of unrelated domains to a single account is not permitted.
  • Default outbound send cap of 200 messages per day on the free tier, on shared sending IPs.
  • Bounces above 5% over a 7-day rolling window, or spam complaints above 0.1%, trigger automatic suspension. You can request reinstatement after fixing the underlying list hygiene issue.
  • No cold outbound, no list rentals, no purchased lists, no unsolicited bulk mail. Only mail to recipients who have a prior business relationship with you or have opted in.
  • No phishing, malware, deceptive sender addresses, or impersonation of third parties.
  • We reserve the right to suspend service immediately for any violation that threatens deliverability for other customers on shared infrastructure.

5. Paid services and billing

  • Entity formation is a one-time fee. State filing fees, expedited-processing fees, and franchise/annual fees are included or itemized at checkout.
  • Email upgrades (Pro, Business) are recurring subscriptions billed monthly or annually, in advance, and renew automatically until canceled.
  • You can cancel a paid email subscription at any time from your account. Cancellation takes effect at the end of the current billing period.

6. Refund policy

  • Entity formation: Full refund (minus non-refundable state filing fees already remitted) if requested within 7 days of order and before the state filing has been submitted. After filing is submitted, the work is non-refundable but registered-agent service can be cancelled with prorated refund of the agent fee.
  • Email Pro / Business: Cancel any time. We do not prorate refunds on the current billing period, but you keep service through the period you've paid for.
  • Annual prepay: If you cancel an annual plan within 30 days of purchase we refund the unused portion. After 30 days, refunds are at our discretion.

7. Your content and data

You retain ownership of your domain, your email content, your filings, and any documents you upload. You grant CCorp a limited license to process that content solely to provide the service. You are responsible for the legality of the content you send through CCorp and for compliance with applicable email laws (CAN-SPAM, CASL, GDPR, etc.).

8. Suspension and termination

We may suspend or terminate your account for non-payment, violation of these Terms, abuse of shared infrastructure, fraudulent activity, or as required by law. On termination, we will give you a reasonable opportunity to export your data, subject to legal retention requirements set out in our Privacy Policy. You may close your account at any time by emailing hello@ccorp.com.

9. Warranties and disclaimers

The service is provided “as is” and “as available” without warranty of any kind, express or implied. We do not warrant uninterrupted or error-free service. We make no warranty that any particular email will be delivered, opened, read, or escape a recipient's spam filter. We do not warrant any particular legal or tax outcome from the formation of an entity.

10. Limitation of liability

To the maximum extent permitted by law, CCorp's aggregate liability for any claim arising out of or related to the service is limited to the greater of (a) the amount you paid us in the twelve months preceding the claim, or (b) US $100. In no event will CCorp be liable for indirect, incidental, special, consequential, or punitive damages, lost profits, or lost data.

11. Indemnification

You agree to defend, indemnify, and hold harmless CCorp from any claim, loss, or expense (including reasonable attorney fees) arising out of your use of the service, your content, or your violation of these Terms or applicable law.

12. Governing law and dispute resolution

These Terms are governed by the laws of the State of New York, without regard to its conflict-of-laws principles. Except for claims for injunctive relief, any dispute will be resolved by binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules, seated in New York County, New York. Each party waives any right to a jury trial or to participate in a class action. If arbitration is unavailable, the state and federal courts located in New York County have exclusive jurisdiction.

13. Changes to these Terms

We may update these Terms from time to time. Material changes will be posted on this page with a new effective date and, for active customers, communicated by email at least 14 days before they take effect. Continued use of the service after the effective date constitutes acceptance.
